Terms of Service — Mergify Digital

These Terms of Service (“Terms”) govern your purchase and use of digital products and hosted software tools sold by Mergify Digital (“Mergify Digital,” “we,” “us”) through Whop. By purchasing or using a Mergify Digital product, you agree to these Terms. If you do not agree, do not purchase or use the products.

1. What we sell

Mergify Digital sells digital software products and access to hosted software tools, including individual tools and the OmniSaaS Suite bundle. Products are delivered digitally through Whop. There is no physical product and nothing will be shipped to you.

Product descriptions are written to describe what the software actually does. Where a product has limits, those limits are part of the product description and of these Terms.

2. License — you are granted a license, not ownership

When you purchase a product, you are granted a limited, non-exclusive, non-transferable, revocable license to use that product for your own personal or internal business use, under these Terms.

You do not acquire ownership of the software, its code, its documentation, or any Mergify Digital intellectual property. All rights not expressly granted are reserved.

One user per license. Each license is for one user. Do not share your license key, account access, or login with other people. If a team or multi-user arrangement is offered for a product, it will say so in that product’s listing; otherwise, each user needs their own license.

3. Acceptable use

You agree not to:

• Resell, redistribute, sublicense, rent, lease, or give away the products, license keys, access, or outputs packaged as a competing product
• Copy, decompile, reverse-engineer, or attempt to extract source code, except where applicable law expressly permits it despite this term
• Circumvent license, scope, or access controls, or use a product outside the scope your license covers
• Use the products to violate any law, regulation, platform rule (including Whop, TradingView, Amazon KDP, Etsy, or a broker’s or prop firm’s rules), or another person’s rights
• Use the products to send spam, distribute malware, or interfere with the operation of the products or other users’ access
• Misrepresent a product’s output as verified, certified, or professionally reviewed when it is not

4. Your inputs and outputs

Most Mergify Digital tools calculate, format, or generate files from information you supply. You are responsible for the accuracy and lawfulness of what you enter, for having the rights to use any files or content you upload, and for reviewing outputs before relying on them.

5. Subscriptions, one-time purchases, and billing

• Purchases, subscriptions, renewals, and payment processing are handled by Whop. Subscription products renew through Whop until cancelled; you can cancel through your Whop account. Cancellation stops future renewals; it does not retroactively refund periods already billed, except as stated in our Refund Policy.
• One-time purchases grant the license described in the product listing for that product.
• Prices are shown in the Whop listing at the time of purchase and may change for future purchases.

6. Availability and changes

Hosted tools require an internet connection and may be unavailable from time to time for maintenance, outages, or reasons outside our control. We may update, improve, change, or discontinue a product or feature. Where a change materially removes a paid product’s core function during a paid term, our Refund Policy applies.

7. Software provided “as is”

The products are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that a product will be error-free, uninterrupted, or produce any particular result, acceptance by a third-party platform, trading outcome, tax outcome, or business result.

8. Limitation of liability

To the maximum extent permitted by law: Mergify Digital will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost trades, trading losses, lost revenue, or lost data, arising from use of the products. Our total liability for any claim relating to a product will not exceed the amount you paid for that product in the twelve months before the claim (or, for a one-time purchase, the amount you paid for it).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; in that case, liability is limited to the minimum extent permitted by law.

9. Professional advice

Products are software utilities. Nothing sold by Mergify Digital is financial, trading, tax, legal, or other professional advice. See our Disclaimers.

10. Termination

We may suspend or terminate a license if these Terms are breached, including license sharing or redistribution. You may stop using the products and cancel any subscription through Whop at any time.

11. Changes to these Terms

We may update these Terms. The version in effect at your purchase governs that purchase, except that continued use of a hosted product after an update is posted constitutes acceptance of the updated Terms for ongoing use.
